Terms of Service — CopeSwipe Application

Please read these Terms of Service ("Terms") carefully before using the CopeSwipe application or website (collectively, the "Service") operated by TherAptAI, Corporation. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of terms
By creating an account, accessing the Service, or clicking "I Agree," you represent that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have the legal capacity to enter into a binding agreement; (c) you have read and agree to these Terms and our Privacy Policy; and (d) if using the Service on behalf of an organization, you have the authority to bind that organization to these Terms.
2. Description of service
CopeSwipe is a psychoeducational application that enables licensed mental health professionals to assign digital coping skill cards to their clients for use between therapy sessions. The Service is intended to supplement, not replace, professional mental health treatment. CopeSwipe does not provide clinical diagnoses, therapeutic treatment, crisis intervention, or emergency mental health services.
3. Accounts and registration
3.1 Therapist accounts
To register as a therapist, you must provide accurate and complete information including your professional license number and state of licensure. You represent and warrant that you are a licensed mental health professional in good standing with your licensing board. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.2 Client access
Clients may access the Service through credentials or access codes provided by their therapist. Clients are responsible for maintaining the security of their access credentials.
3.3 Account termination
We reserve the right to suspend or terminate any account at our sole discretion, including for violation of these Terms, unethical conduct, or fraudulent activity, with or without notice.
4. Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree NOT to:
- Enter any patient Protected Health Information (PHI) including patient names, diagnoses, or treatment records
- Use the Service as an electronic health record, clinical documentation system, or HIPAA-covered application
- Impersonate any person or entity or misrepresent your professional credentials
- Use the Service to harass, abuse, or harm any individual
- Transmit any content that is unlawful, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the Service or its underlying systems
- Use automated tools to scrape, crawl, or extract data from the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service in any manner that could disable, overburden, or impair its operation
- Violate any applicable federal, state, local, or international laws or regulations
5. Professional responsibility
Therapists using CopeSwipe remain solely and exclusively responsible for:
- Their clinical judgment in selecting and assigning coping cards to clients
- Ensuring CopeSwipe is used in compliance with their professional licensing requirements and ethical obligations
- Ensuring their use of the Service complies with HIPAA and all applicable state and federal privacy laws
- Obtaining any necessary client informed consent for the use of digital tools in their care
- Monitoring client progress and adjusting use of the Service based on clinical need
- Not using the Service as a substitute for appropriate clinical care
6. Intellectual property
6.1 Company IP
The Service and all content created by the Company, including but not limited to coping card designs, software, text, graphics, logos, and the CopeSwipe name and TherAptAI name, are the exclusive property of TherAptAI Corporation and are protected by copyright, trademark, and other intellectual property laws.
6.2 User content
You retain ownership of content you submit to the Service. However, by submitting content, you grant the Company a license as described in our Submission Terms & Conditions, which are incorporated herein by reference.
6.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant the Company a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.
7. HIPAA and health data
CopeSwipe is a psychoeducational tool and is NOT a HIPAA-covered entity or business associate. The Service is not designed or intended to store, process, or transmit Protected Health Information (PHI). Therapists are expressly prohibited from entering PHI into the Service. The Company will not enter into a Business Associate Agreement (BAA) in connection with the use of this Service.
8. Third-party services
The Service may integrate with or link to third-party services, including electronic health record systems and practice management platforms. We are not responsible for the practices, content, or availability of third-party services.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THE COMPANY DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (C) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (D) THE COPING CARD CONTENT IS CLINICALLY APPROPRIATE FOR ANY PARTICULAR INDIVIDUAL.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THERAPTAI, CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless TherAptAI Corporation. and its officers, directors, employees, agents, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your violation of any applicable law or professional obligation; (e) any clinical decisions you make in connection with use of the Service; or (f) any PHI you enter into the Service in violation of Section 7.
12. Mental health crisis disclaimer
If you or someone you know is in a mental health crisis or is considering suicide or self-harm, please immediately:
- Call or text 988 (Suicide & Crisis Lifeline)
- Call 911 or go to your nearest emergency room
- Contact your mental health provider directly
13. Modifications to service and terms
We reserve the right to modify or discontinue the Service at any time with or without notice. We also reserve the right to update these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the Effective Date.
14. Termination
These Terms remain in effect until terminated by either party. You may terminate these Terms by closing your account and ceasing use of the Service. We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections 6, 9, 10, 11, 15, and 16 survive termination.
15. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
WAIVER OF CLASS ACTION: TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.
16. General provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Submission Terms & Conditions, constitute the entire agreement between you and the Company regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
- Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
